We provide social media marketing, digital marketing, advertising, communication, campaign management, content-related, and related marketing services to businesses, organisations, professionals, and other customers.These Terms & Conditions (“Terms”) govern your access to and use of our website, services, communication channels, marketing solutions, and any related services provided by PRECISION SOCIAL MEDIA MARKETING AGENCY.By accessing our website, contacting us, purchasing our services, submitting information to us, approving a marketing campaign, or otherwise engaging with PRECISION SOCIAL MEDIA MARKETING AGENCY, you acknowledge that you have read, understood, and agreed to these Terms.These Terms are intended to establish a clear and transparent relationship between PRECISION SOCIAL MEDIA MARKETING AGENCY and its customers. Acceptance of TermsYour use of our Services constitutes acceptance of these Terms.If you do not agree with these Terms, you should not use our website or engage our Services.Where the Client is an organisation, the individual accepting these Terms represents that they have authority to act on behalf of that organisation.The Client is responsible for ensuring that all employees, representatives, contractors, agencies, and other persons acting on its behalf comply with these Terms.Continued use of our Services after an amendment to these Terms constitutes acceptance of the revised Terms, subject to applicable law.

4. Description of ServicesPRECISION SOCIAL MEDIA MARKETING AGENCY provides marketing services based on the Client’s requirements and the scope agreed between the parties.Services may include, without limitation:Social media marketing and management;Digital advertising and campaign management;Social media strategy;Promotional campaign planning;Content planning and marketing support;Customer communication campaigns;Lead-generation campaigns;Brand promotion;Marketing consultation;WhatsApp and RCS-related communication support;Campaign analytics and reporting;Advertising account support; andOther digital marketing services agreed with the Client.The exact scope, deliverables, timelines, pricing, number of revisions, advertising budget, platform charges, and other commercial conditions may be specified in a quotation, proposal, invoice, service agreement, or written communication.Marketing outcomes can vary depending on market conditions, audience behaviour, advertising platforms, competition, budget, creative quality, targeting, customer response, and other factors. Accordingly, PRECISION SOCIAL MEDIA MARKETING AGENCY does not guarantee a specific number of leads, sales, impressions, conversions, followers, or revenue unless expressly agreed in writing.

5. EligibilityOur Services are intended primarily for businesses, organisations, professionals, and individuals legally capable of entering contracts.By using our Services, you confirm that:You have the legal capacity to enter into an agreement;The information provided to us is accurate and current;You have authority to provide materials and instructions relating to your business;Your intended use of the Services is lawful;You will comply with applicable Indian laws and regulations; andYou will comply with applicable policies of third-party platforms used in connection with your campaigns.We may refuse or discontinue services where we reasonably believe the Client’s intended activity is unlawful, deceptive, abusive, fraudulent, harmful, or contrary to platform policies.

6. Account RegistrationCertain Services may require the Client to provide account information, business information, contact details, social media account access, advertising account information, API-related information, or other information necessary for service delivery.The Client is responsible for maintaining the confidentiality of passwords, authentication information, access credentials, tokens, and other security information.PRECISION SOCIAL MEDIA MARKETING AGENCY will not knowingly request unnecessary passwords or confidential authentication information where an authorised platform access mechanism is available.The Client must immediately inform us if it suspects unauthorised access to an account.We may suspend access or discontinue work where account access creates a security, legal, compliance, or platform-policy risk.

7. User ResponsibilitiesThe Client is responsible for providing accurate information, timely approvals, lawful content, and appropriate instructions.The Client represents and warrants that materials supplied to PRECISION SOCIAL MEDIA MARKETING AGENCY do not knowingly:Infringe intellectual-property rights;Violate applicable law;Contain fraudulent claims;Misrepresent products or services;Promote prohibited activities;Contain malicious software;Misuse personal information;Encourage unlawful conduct; orViolate applicable platform policies.The Client is responsible for obtaining all required permissions, licences, consents, approvals, releases, and rights relating to its products, services, promotional claims, customer data, photographs, trademarks, and other materials.The Client must review marketing content before publication where approval has been requested.

8. Payment & Billing TermsFees for Services will be communicated through quotations, proposals, invoices, service agreements, or other written commercial communications.Unless otherwise agreed, fees are payable according to the payment schedule communicated by PRECISION SOCIAL MEDIA MARKETING AGENCY.Third-party costs may be separate from our professional fees. These may include advertising spend, platform fees, telecom charges, software subscriptions, payment-processing charges, API charges, domain costs, hosting charges, stock-media licences, or other external expenses.Where applicable, taxes, including GST or other legally applicable charges, may be added to invoices.The Client agrees not to initiate unauthorised chargebacks or payment reversals for legitimate services already provided. If there is a billing dispute, the Client should contact us promptly so that the matter can be reviewed.Delayed payments may result in suspension of services, campaign pauses, delayed delivery, or termination, subject to the applicable agreement and law.

9. Subscription Renewal & TerminationWhere Services are provided on a recurring or subscription basis, the applicable subscription period, renewal arrangement, and cancellation requirements will be specified in the relevant commercial agreement.Unless otherwise agreed, recurring services may automatically continue for the next agreed billing period where automatic renewal has been expressly accepted.Either party may request termination by providing notice in accordance with the applicable agreement.PRECISION SOCIAL MEDIA MARKETING AGENCY may suspend or terminate Services where the Client:Fails to pay applicable fees;Provides unlawful or prohibited instructions;Misuses communication platforms;Violates these Terms;Causes significant compliance or security risks;Provides fraudulent information; orEngages in activity that could expose the Agency or its partners to legal or regulatory risk.Termination does not automatically eliminate amounts already due for Services performed before termination.

10. Use of WhatsApp Official API & RCSWhere PRECISION SOCIAL MEDIA MARKETING AGENCY provides support involving WhatsApp or RCS communication, such Services may depend upon third-party platforms, providers, telecom operators, application programming interfaces, business accounts, verification procedures, and applicable policies.The Client acknowledges that WhatsApp and RCS are third-party communication ecosystems and are not controlled by PRECISION SOCIAL MEDIA MARKETING AGENCY.Clients using WhatsApp Business Platform or RCS-related services must comply with all applicable Meta, WhatsApp, Google, carrier, telecom operator, messaging, advertising, privacy, and anti-spam requirements.The Agency will not knowingly assist a Client in bypassing platform restrictions, verification requirements, consent requirements, message-quality controls, spam protections, or other platform safeguards.Clients must use approved business communication purposes and must not use communication services for unlawful, deceptive, abusive, fraudulent, or prohibited content.Platform approval is not guaranteed by the Agency because approval decisions may be made by independent third-party providers.

11. Message Delivery & Compliance PolicyMessage delivery depends on multiple factors, including platform approval, recipient consent, sender reputation, message content, templates, network availability, telecom infrastructure, device compatibility, platform restrictions, and third-party systems.PRECISION SOCIAL MEDIA MARKETING AGENCY does not guarantee delivery of every message.Clients are responsible for ensuring that recipients have provided appropriate consent where required and that communications comply with applicable law and platform policies.Messages must not be designed to deceive recipients regarding the identity of the sender, the purpose of the communication, pricing, offers, products, services, or other material information.Marketing messages should provide appropriate opt-out or unsubscribe mechanisms where required or reasonably appropriate.The Agency may reject or modify a campaign where the proposed content presents a compliance, legal, reputational, or platform-policy concern.The Client remains responsible for the legality and accuracy of its products, offers, claims, and communications.

12. Intellectual Property RightsUnless otherwise agreed in writing, each party retains ownership of intellectual property it owned before the engagement.Client-provided trademarks, logos, photographs, product materials, brand assets, and other proprietary materials remain the property of the Client or the applicable rights holder.Subject to payment of agreed fees, rights in specifically commissioned final marketing deliverables may be provided to the Client according to the agreed scope.PRECISION SOCIAL MEDIA MARKETING AGENCY retains ownership of its pre-existing methodologies, templates, know-how, processes, concepts, internal systems, tools, frameworks, and general marketing knowledge.Third-party materials remain subject to the licences and terms of their respective owners.The Client grants the Agency permission to use Client-provided materials solely as reasonably necessary to provide the Services.



13. ConfidentialityBoth parties may receive confidential business information during the relationship.Each party agrees to use reasonable care to protect confidential information and not disclose it to unauthorised persons except where disclosure is required by law or necessary for legitimate service delivery.Confidential information may include business strategies, customer information, campaign data, pricing, marketing plans, account information, technical information, and non-public commercial information.Confidentiality obligations do not apply to information that is publicly available without breach, was already lawfully known, is independently developed, or is lawfully obtained from another source.

14. Disclaimer of WarrantiesPRECISION SOCIAL MEDIA MARKETING AGENCY provides Services using reasonable professional care, but marketing results depend on numerous external circumstances.Except to the extent prohibited by applicable law, Services are provided without guarantees that campaigns will achieve particular commercial results.We do not warrant that third-party platforms will operate continuously, remain available, approve campaigns, maintain specific features, or deliver messages without interruption.We do not guarantee uninterrupted access to websites, advertising systems, WhatsApp, RCS, social networks, telecom networks, APIs, analytics services, or other third-party systems.Nothing in these Terms excludes a consumer or other legal right that cannot lawfully be excluded.

15. Limitation of LiabilityTo the maximum extent permitted under applicable law, PRECISION SOCIAL MEDIA MARKETING AGENCY will not be liable for indirect, incidental, consequential, special, or unforeseeable losses arising from the use of third-party platforms or Services.This may include loss of profits, business opportunities, anticipated savings, goodwill, or data, except where such exclusion is prohibited by law.The Agency’s liability, where legally applicable, will be limited to the extent reasonably attributable to the Agency’s breach or negligence and subject to any liability cap expressly agreed in writing.Nothing in these Terms limits liability that cannot legally be limited or excluded under Indian law.

16. IndemnificationTo the extent permitted by law, the Client agrees to indemnify and hold harmless PRECISION SOCIAL MEDIA MARKETING AGENCY from claims, losses, liabilities, costs, and reasonable expenses arising from:Unlawful Client content;Infringement of third-party intellectual-property rights by Client materials;Violation of applicable law by the Client;Unauthorised marketing communications;Lack of required customer consent;Misleading or fraudulent claims supplied by the Client;Improper use of third-party platforms; orBreach of these Terms by the Client.This provision does not require the Client to indemnify the Agency for losses caused solely by the Agency’s own unlawful conduct, fraud, or wilful misconduct.

17. Governing Law (India)These Terms shall be governed by and interpreted in accordance with the laws of India.Subject to applicable mandatory legal requirements, disputes should first be addressed through good-faith communication between the Client and PRECISION SOCIAL MEDIA MARKETING AGENCY.Where a dispute cannot be resolved amicably, the parties may seek remedies before courts or other legally competent authorities having appropriate jurisdiction under applicable Indian law.Nothing in these Terms prevents either party from seeking urgent legal relief where such relief is legally available.

18. Changes to TermsPRECISION SOCIAL MEDIA MARKETING AGENCY may update these Terms from time to time to reflect changes in Services, technology, platform requirements, business practices, or applicable law.The latest version will be made available on the website where reasonably practicable.Where changes materially affect an ongoing contractual relationship, we may provide reasonable notice where required.Your continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms, subject to applicable law.
